Shipping Policies

These Amazon Shipping Shipment Policies (“Policies”) are incorporated into the Amazon Shipping Terms and Conditions and capitalized terms will be as defined there unless specifically defined in these Policies.

1. SHIPMENT INFORMATION AND SHIPPING FEES
1.1 You will be required on Amazon Seller Central, ship.amazon.com, or on any alternative channel authorized by Amazon from time to time for such purpose, to provide certain information regarding a Shipment, including its weight, dimensions, and whether the Shipment contains Dangerous Goods. If the Shipment contains Dangerous Goods, you will be required to provide additional information, including information necessary to determine whether such Dangerous Goods are Permissible Dangerous Goods (as defined in Appendix A of these Policies). Amazon relies on such information to identify the ship methods available and determine whether such Shipment can be carried. If incorrect or incomplete information is provided, we reserve the right to charge on the basis that the correct and complete information had been provided or refuse to carry the Shipment, or to take such other action as we deem appropriate.

1.2 We reserve the right but not the obligation to examine, re-weigh, or re-measure any Shipment to confirm your Shipment information and all Shipping Fees. For each Shipment, if we determine that the weight or any dimension is greater than that declared we reserve the right to charge on the basis of the billable weight verified by us or refuse to carry the Shipment.

1.3 In addition to other amounts due to us under the Terms, Shipping Fees may also include surcharges or special handling fees applicable under specific circumstances, which will be displayed on Amazon Seller Central, ship.amazon.com, in the Amazon Shipping Service Guide , or through any alternative channel authorized by Amazon from time to time for such purpose

2. PROHIBITED AND RESTRICTED SHIPMENTS
2.1 The following goods and packages are prohibited for shipment via Amazon Shipping (“Prohibited Goods”):

2.1.1 Items not permitted for sale and/or transportation by applicable local, state, or federal law, regulation, ordinance, rule or restriction, including without limitation counterfeit goods, illegal drugs and narcotics, and weapons.

2.1.2 Age-restricted goods or goods requiring age verification or signature on delivery, including without limitation alcohol and tobacco products.

2.1.3 Items that require specific conditions for transport and storage, including without limitation frozen or chilled foods, plants, and live animals (including insects and animal embryos).

2.1.4 Unless Section 2.3 applies, all goods classified as hazardous material, dangerous goods, prohibited goods, or banned or restricted articles by any of (i) the United States Department of Transportation Hazardous Materials Regulations, (ii) the International Air Transport Association Dangerous Goods Regulations, (iii) the International Maritime Dangerous Goods code, (iv) the United States Postal Service (“USPS”), or (v) any applicable government department or other relevant organization (“Dangerous Goods”).

2.1.5 Items that USPS has indicated in its published materials are nonmailable, prohibited, require special handling, are subject to restrictions as to who may receive them through the mail, or which are only permitted within specific USPS ship methods or services.

2.1.6 Any of the following, to the extent not already prohibited under Sections 2.1.1 through 2.1.5: (i) bullion; (ii) money and/or coins of every description; (iii) bearer form negotiable instruments, share certificates and blank shares, contracts, deeds, lottery tickets, vouchers, stamps, duty stamps and any other documents negotiable or equivalent as cash; (iv) Precious Metals, Precious Stones and Semi-precious Stones or items that are made from or which may include the them; (v) firearms and ammunition; (vi) pornography; (vii) parcels or packages that are wet, leaking or emit an odor of any kind; (viii) parcels or packages containing frozen water or dry ice; (ix) water based paints, wood varnishes and enamels with a volume greater than 150ml per item; (x) explosives, fireworks and other items of an incendiary or flammable nature including flammable solids such as matches or combustible liquids; (xi) compressed gasses flammable or non-flammable with an absolute pressure exceeding 40 psi at 68°F; (xii) oxidizers, liquid or solid corrosives; (xiii) poisons, irritants, controlled substances and drug paraphernalia; (xiv) tires; (xv) household waste; (xvi) carbon black; (xvii) etiological agents and biological agents; (xviii) fur and fur pelt; (xix) hazardous chemicals; (xx) items which by their nature are likely to soil, impair or damage persons, merchandise or equipment; or (xxi) any other items which at our discretion we decide cannot be carried entirely or through the specific ship method. “Precious Metals” means silver, gold, platinum, palladium, iridium, osmium, rhodium and ruthenium. “Precious Stones” means diamonds, emeralds, rubies and sapphires. “Semi-precious Stones” means amethyst, aquamarine, aventurine, carnelian, garnet, lapis lazuli, opal, pearls, rose quartz, topaz and tourmaline.

Some of your shipments may be fulfilled, at least in part, by the USPS. It is your responsibility to review and understand all USPS requirements and conditions applicable to your Shipment. For more information regarding such requirements and conditions, please visit www.USPS.com . These Policies are not intended to list every such requirement or condition.

2.2 Only Shippers who comply with all applicable requirements are permitted to ship Permissible Dangerous Goods (as defined in Appendix A) with Amazon Shipping. If you are unsure of the applicable requirements please review these Policies and the resources available on our Help page. If your Shipments include Permissible Dangerous Goods, you agree that (i) your Shipments will comply with the Dangerous Goods Requirements shown in Appendix A below and (ii) you will be responsible for complying with the labelling, packaging, declaration, and shipment requirements detailed in these Policies, and with all applicable local, state and federal laws, regulations, ordinances, rules and restrictions.

3. SHIPMENT SIZE, WEIGHT, PACKAGING AND LABELLING
3.1 Shipments must not (i) weigh more than 50 pounds; (ii) exceed 59 inches in length (L); or (iii) have a girth exceeding 130 inches (G). Length is defined as the longest side of the parcel and girth is defined as G=L+2(W+H).

3.2 We calculate Shipping Fees based on the required or requested services, and the billable weight, which is the greater of: (i) actual weight; and (ii) dimensional weight, which is calculated based on actual package volume and your dimensional divisor. We always round up weight to the nearest pound.

3.3 Where you place an order for a quantity of “one” (a “Single Unit Order”), it is only possible to purchase one Shipping Label. You must not split a Single Unit Order into multiple packages or use the same Shipment ID or Shipping Label on multiple Shipments.

3.4 Packaging Requirements:

3.4.1 We expect a high standard of packaging on Shipments received into our network and you agree to comply with the standards specified in our Service Guide. You must package all Shipments appropriately for transit.

3.4.2 Shipments must be fully encased in packaging (corrugated cardboard or padded envelope) that is strong enough to avoid damage to other shipments or injury to persons. Shipments must not have overwrap.

3.4.3 Do not use plastic strapping or banding on the outside of your Shipments, including strapping or banding together separate items or packages, which must be shipped as separate Shipments.

3.4.4 You may reuse undamaged packaging, but you must remove all labels or markings related to the prior shipment.

3.4.5 You must seal your Shipment using tape intended for shipping. You may not use string, rope, cellophane tape, or masking tape to secure the outside packaging.

3.4.6 Fill all spaces in your package with a suitable filler or cushioning material to ensure the Shipment stays intact during transit.

3.4.7 Shipments containing sharp objects must have heavy cardboard applied around sharp edges and points to ensure they do not pierce packaging.

3.4.8 Package liquids and other items that may leak (e.g., wet dog food) in both a leak-proof inner liner and a leak-proof outer box.

3.4.9 Shipments containing glass or other breakable materials must be marked “Fragile.”

3.4.10 Shipments should not contain “Fragile” or Dangerous Goods markings on the outer packaging if they do not in fact contain such items.

3.4.11 Do not use shiny or reflective packaging that may interfere with our scanning capabilities.

3.5 Labelling Requirements:

3.5.1 Shipping Labels must be 4”x6”, using black ink on a plain white background, printed entirely within the borders of the label.

3.5.2 The Shipping Label, along with any other required labels should be placed on a single surface, preferably the largest surface. You should remove any prior Shipping Labels before applying the new label.

3.5.3 Shipping Label stock must be peel-off thermal labels clear of any third-party markings.

3.5.4 You may not modify or include additional identifiers on the Shipping Label without our prior approval.

3.6 We may ask you to palletize or de-palletize your Shipments to streamline pick-up process. Pallets must be shrink wrapped. Additionally, pallets must not (i) exceed 48 inches in length; (ii) exceed 77 inches in height (including the height of the pallet); or (iii) exceed 2000 pounds in gross weight (including the weight of the pallet). Pallets must only contain Shipments bearing Shipping Labels purchased via Amazon.

3.7 All Shipments containing Permissible Dangerous Goods must be declared during the label purchase process including providing all required Dangerous Goods attributes, and comply with the labelling requirements found at 49 CFR Subtitle B and in USPS: Publication 52 (Hazardous, Restricted, and Perishable Mail) (or “Publication 52”) and USPS Publication 199 (Intelligent Mail Package Barcode (IMpb) Implementation Guide)(8.16 Hazardous Materials).

4. DELIVERY
4.1 We will deliver Shipments to the addresses you provide to us that are within our coverage area.

4.2 For parcel Shipments, in the case of any Shipment that is not an undeliverable shipment, our delivery obligation will be completed by leaving the Shipment (a) with the Recipient or any other person at the address indicated on the Shipping Label, (b) at the exterior of the Recipient’s address, or (c) at an Amazon Locker or pick-up point as designated by the Recipient. Further, you agree that we may act in reliance upon instructions provided by the Recipient regarding updates to delivery information, re-direction, diversion, or reconsignment, and you waive any claim or remedy you may have against us that results in whole or in part from our compliance or noncompliance with such instructions.

4.3 We may use an electronic device to obtain proof of delivery and can rely on a printed copy of the same as evidence of delivery in good count and condition.

4.4 To arrange for the transportation of any Shipment, we may re-issue all or a portion of the Shipping Label affixed to the Shipment.

4.5 We may take any steps necessary to prevent damage or delay to shipments or persons and may refuse to carry any Shipment which is not compliant with the Terms. By accepting a Shipment, we do not accept that such Shipments conforms to applicable laws and regulations or to the Terms.

4.6 Without liability to you, to the extent permitted by law, we or our subcontractors, agents or third-party carriers may open, inspect, or scan by any means (e.g., X-ray) any Shipment at any time, at our own option or upon the request of the competent authorities.

4.7 We will not be liable in any circumstances for any delay, loss, damage to Shipments due to seizure or detention of Shipments in the course of transit by competent authorities.

4.8 With the exception of Shipments containing goods prohibited under our Policies, we will carry Shipments containing perishable or temperature sensitive goods but will not provide any special handling. Shipments are carried solely at your risk.

5. UNDELIVERABLE SHIPMENTS
5.1 A Shipment will be considered to be undeliverable if:

5.1.1 The Recipient’s address is incomplete, illegible, incorrect or cannot be located;

5.1.2 The Recipient fails or refuses to accept delivery of any Shipment or we are unable to deliver to a safe location;

5.1.3 The Shipment would likely cause damage or delay to other shipments or cause injury to persons;

5.1.4 The Shipment contains Prohibited Goods or is otherwise not in compliance with the Terms or these Policies, including the Dangerous Goods Requirements shown in Appendix A below, if applicable;

5.1.5 The Shipment’s contents or packaging are damaged to the extent that re-packaging is not possible; or

5.1.6 The Shipment is detained or is prohibited by a government authority from being transported.

5.2 We may use reasonable efforts to return such undeliverable Shipments to you at your cost but retain the right to dispose of such undeliverable Shipments at our own discretion consistent with applicable law.

6. PAYMENTS
6.1 We will charge you for all Shipments handed over to us, regardless of whether you cancel the Shipments or they are undeliverable shipments. If a Shipment that is handed over to us is cancelled either before or after entering our network, we reserve the right to deliver such Shipment to the Recipient and not return the Shipment to you.

6.2 You will pay Shipping Fees and any additional amounts due to us under the Terms either: (a) daily, weekly, bi-weekly, or monthly in arrears based on the invoice provided by Amazon for the Shipping Fees incurred in the measurement period, if your account is authorized to do so by Amazon, or (b) upon receipt of the Shipment by Amazon for delivery, by automatically deducting such Fees from your Amazon Seller Central account.

6.3 Amazon may pull your business credit report at any time for the purpose of assessing and applying credit limits to your account, and may suspend your ability to purchase additional Shipping Labels to prevent the outstanding balance on your account from exceeding any limits established by Amazon.

6.4 If we choose to invoice you for Shipping Fees, you will pay the invoiced amounts within 15 days of the date of applicable invoice. You must raise any dispute regarding your invoice within three months of the applicable invoice date. After this date, the invoice will be deemed correct and may not be disputed.

6.5 We may require payment of interest at the rate of 1.5% per month compounded monthly (19.56% compounded annually) or the highest legally permissible rate, whichever is lower, on all amounts not paid when due until paid in full. We reserve the right to collect past-due payments in any manner permitted by law, including but not limited to referring such collection efforts to a third-party collection agency and, if you or your affiliate have a Seller Central account, any means authorized under the terms of the Amazon Services Business Solutions Agreement between us. If you or your affiliate have a Seller Central account, Amazon may automatically deduct outstanding balances from such account if your payments are 5 days or more past due without advance notice. You will reimburse us for all fees incurred in connection with our collection of amounts payable and past due.

7. CLAIMS PROCESS
7.1 To make a claim, you must comply with the process for damaged and lost packages subject to the conditions set out in ship.amazon.com.

7.2 You may only file claims relating to Shipments containing items purchased on the Amazon marketplace after you have refunded the Recipient for a delivery issue and Amazon has deducted the amount reimbursed to the Recipient from your Amazon Seller Central account.

7.3 If a claim relates to a Shipment that contains an item purchased outside the Amazon marketplace, you must provide proof of the sale price of the item the Shipment contained. The amount of that sale price is presumed to include the value of the Shipping Fees. We maintain the right to request further information supporting your claims, including but not limited to evidence that you have refunded your Recipients for the price of the item the Shipment contained. If you fail to provide sufficient proof, we may automatically reject your claim.

7.4 Where we return or destroy a Shipment pursuant to a right under the Terms, we are not required to reimburse you for the value of the Shipment contents, fees or any other costs related to the return or destruction.

7.5 We reserve the right to re-charge to you any amounts we pay to you in relation to claims for Shipments that are located following payment to you, and are returned to you or destroyed pursuant to a right under the Terms, or any Shipments presumed lost that we later determine were not received by us.

8. PRICING
8.1 Please see the Amazon Shipping Service Guide for more information about the Shipping Fees, including published rates, fees, and surcharges. If you receive custom pricing in a downloadable file you access through your Shipper Central account (a “Custom Price Proposal”), those rates may not be reflected when purchasing a Shipping Label through other channels. Further, shippers who purchase their Shipping Label through Buy Shipping but have not been issued static rates through (for example, through Shipper Central) will be presented with a rate for each shipment at the time they purchase the label, which may differ from what is in the Service Guide.

8.2 We understand that predictability in your Shipping Fees is important. We periodically review Shipping Fees and may update them to reflect changing financial conditions, and such updates will be communicated in the Amazon Shipping Service Guide, at ship.amazon.com, a revised Custom Price Proposal, or through any alternative channel authorized by Amazon from time to time for such purpose. We may also modify your Custom Price Proposal if your shipping profile deviates from information submitted to us during the on-boarding process (for example, your shipment volume or profile mix changes), deviation from assumptions set forth in the Custom Price Proposal, or as otherwise noted in connection with such Custom Price Proposal.

9. PICKUPS
9.1 We will communicate your scheduled pick-up window(s) to you in Shipper Central or via email.

9.2 All Shipments manifested on the scheduled “ship by” date must be ready for pickup by the start of the pickup window.

9.3 Your Shipments must be separate from those of other shippers and should not be mixed with those of another shipper.

9.4 Your Shipments for us must be separate from those for pick-up by other shipping service providers or third-party carriers.

9.5 If you will be closed or need to cancel for any other reason, you must cancel your pickup via the Amazon Shipping website 8 days in advance.

9.6 You must provide a suitable parking and loading area for pick-ups within 50 yards of the pick-up location. The loading area must have adequate lighting and be at ground level with packages placed in a way that ensures safe loading. During loading, the loading area must be free from vehicle movements and other similar risks. You must also ensure you are present during loading.

9.7 The driver will determine if the vehicle is at maximum capacity. If the driver indicates the vehicle is at maximum capacity and they are unable to pick up all of your Shipments, please contact Shipper Support to schedule another pickup.

9.8 If you are moving your pick-up locations, you must notify us at least 4 weeks in advance to enable us to determine if we can provide a pick-up service at the new location. If we determine your new pick-up location is not suitable, we will notify you that we are unable to service your new location.

9.9 All pick-ups being conducted on a 26ft box truck or 53ft trailer require a Bill of Lading (BOL). A BOL template can be found within the ship.amazon.com Help pages. You are responsible for ensuring that the Vehicle ID (VRID) on the BOL matches the VRID of your scheduled vehicle.

9.10 To the extent you are permitted to participate in the Drop Trailer operating model (as defined in Appendix B), such participation will be subject to the Drop Trailer Requirements in Appendix B.

9.11 While we endeavor to deliver packages in-line with those communicated to you for the service purchased, on occasion we may not be able to meet the targeted delivery speed.

9.12 You are responsible for verifying the VRID of the driver when tendering your Shipments.

9.13 In the event you tender to us packages that are intended for another carrier, we will have no responsibility for such packages and will treat them as undeliverable shipments pursuant to Section 5. We may, but are under no obligation to, transfer the packages to the carrier you originally intended to tender them to.

10. CLOSING YOUR AMAZON SHIPPING ACCOUNT
10.1 If you plan to suspend or discontinue use of the Services, you should inform us via the Contact Us form in your Amazon Shipping account. Please ensure that the returns address in your account is correct. We may attempt to return any Shipments due to be returned to you but reserve the right to destroy Shipments at our option and at your cost.

11. AMAZON SHIPPING API
11.1 The Amazon Shipping API enables your systems to interface with certain Amazon Shipping features or functionality. If you use the Amazon Shipping API, you agree that the Selling Partner API Terms set out in the Amazon Services Business Solutions Agreement apply.

Appendix A

DANGEROUS GOODS REQUIREMENTS

This Appendix A sets out our requirements and your obligations for your Shipments that contain Permissible Dangerous Goods (the “Dangerous Goods Requirements”).

The transport of Shipments containing Dangerous Goods is limited to ground shipment within the continental United States. You may not send Shipments to Alaska, Hawai’i, US Territories, or APO/FPO/DPO addresses.

1. PERMISSIBLE DANGEROUS GOODS
1.1 Only Shippers who comply with all applicable requirements, including these Dangerous Goods Requirements, are permitted to ship Permissible Dangerous Goods with Amazon Shipping. If you are unsure of the applicable requirements please review these Amazon Shipping Policies and the resources available on our Help page. Only the following subset of Dangerous Goods (“Permissible Dangerous Goods”) may be offered as a Shipment for transport via Amazon Shipping:

1.1.1 Shipments that contain Limited Quantities of the Dangerous Goods within Class 2 Divisions 2.1 and 2.2, as defined at 49 CFR 173.115(a)-(b) and in Publication 52, Sections 3.34.342.1(a)-(b), and 3.34.342.22(a)-(b) and (f), with the UN IDs shown in Table 1 below.

1.1.2 Shipments that contain Limited Quantities of the Dangerous Goods in Class 3, as defined at 49 CFR Part 173.120 and in Publication 52, Sections 3.34.343.1-3, with the UN IDs shown in Table 1 below.

1.1.3 Shipments that contain lithium ion or lithium metal batteries in or with products within Class 9, as defined at 49 CFR 173.185(a)(1) and Publication 52, Sections 3.34.349.11(a)-(f), 3.34.349.221(a)-(c), and 3.34.349.222(a)-(c), with the UN IDs shown in Table 1 below.

2. PACKAGING REQUIREMENTS
2.1 In addition to the requirements detailed in Section 2 of the Policies, you agree to comply with all applicable laws and regulations in effect at the time of handing off the Shipment to us for delivery to the customer, including 49 CFR Subtitle B and Publication 52, and all other applicable local, state and federal laws, regulations, ordinances, rules and restrictions.

2.2 You may not use padded envelopes to ship any of the Permissible Dangerous Goods, or ship Permissible Dangerous Goods in the manufacturer’s own packaging (known as “Ships In Own Container” (SIOC)).

2.3 You are solely responsible for properly classifying, marking, packing, declaring and labelling the Shipment before handing it off to us for delivery to the customer.

2.4 You are solely responsible for providing all compliant packaging and packaging materials.

3. SHIPPING INFORMATION
You will declare Shipments containing Permissible Dangerous Goods during the label purchase process by providing the UN ID and any other required information. Upon our request, but no later than ten (10) hours after our request, you will provide any additional information we request pertaining to the classification, hazards, regulatory, and amounts of Permissible Dangerous Goods you have shipped with Amazon Shipping, including all Shipping Documents. References to “Shipping Documents” in these Dangerous Goods Requirements are to the bill of lading, receipt, Safety Data Sheet, Material Safety Data Sheet, or similar document accompanying your cargo and describing your goods and delivery details.

4. DELIVERY
You are responsible for preventing any packages being shipped to the restricted zip codes detailed our Dangerous Goods Shipping Guide. You agree to not offer or tender Shipments to us for delivery to a customer who resides within the restricted postal codes.

5. UNDELIVERABLE SHIPMENTS
In the event the we determine that any Shipment containing Permissible Dangerous Goods received from the Shipper is no longer suitable for ground delivery, we may refuse to carry the Shipment. We will make reasonable attempts to return the Shipment to you, and reserve the right to dispose of the Shipment and to charge you for the cost of disposal.

6. REPRESENTATIONS AND WARRANTIES
6.1 You represent that all Shipments containing Permissible Dangerous Goods that are offered or tendered to us for delivery are properly classified, marked, packaged, and labelled in accordance with 49 CFR Subtitle B and Publication 52, and all applicable local, state and federal laws, regulations, ordinances, rules and restrictions.

6.2 You represent that all packaging you use to prepare your Shipments that contain Permissible Dangerous Goods satisfies the prescribed specifications and testing requirements of 49 CFR Subtitle B and Publication 52, and all applicable local, state and federal laws, regulations, ordinances, rules and restrictions.

6.3 You represent that all of your employees and contractors involved in preparing a Shipment containing Permissible Dangerous Goods offered or tendered to us for delivery have been properly trained and, where applicable, certified, under the regulatory requirements found at 49 CFR Part 172 and all other applicable local, state and federal laws, regulations, ordinances, rules and restrictions.

6.4 You warrant that you understand that your failure to train and, where applicable, certify employees and contractors for preparing a Shipment containing Dangerous Goods for transport could lead to regulatory fines and/or penalties, as well as other claims.

7. INDEMNITY
7.1 You agree to indemnify, defend, and hold us and our officers, directors, employees, agents, and their successors and assigns harmless, for any loss or damage incurred by us or any claim brought by a third party against us or such officers, directors, employees or agents arising out of or in connection with your or any of your officers’, employees’, contractors, or agents’:

7.1.1 breach of these Dangerous Goods Requirements; or

7.1.2 act, omission, negligence, or misconduct, including but not limited to the inaccuracy of any Shipping Document, label, or package marking required under 49 CFR Subtitle B and Publication 52, and all applicable local, state and federal laws, regulations, ordinances, rules and restrictions, or other information you or they supply.

7.2 This Section 7 will not be construed in any way prohibited by law, including any interpretations that result in indemnification for the negligence or misconduct of an indemnified party.

8. GENERAL
8.1 We have the right to suspend, cancel and/or revoke your ability to ship Permissible Dangerous Goods if you fail to comply with these Dangerous Goods Requirements, the Policies, or the Terms.

8.2 You acknowledge that you have been informed to, from time to time, consult ship.amazon.com or the Policies for additional information, limitations, or requirements on how we handle dangerous goods, which we may refer to as “Hazardous Materials.”

8.3 You acknowledge that you and the consignor of any Shipment (if you are not the consignor) have complied and will comply with all applicable rules, laws, and regulations with respect to the Shipment.

Appendix B

DROP TRAILER REQUIREMENTS

This Appendix B sets out our requirements and your obligations for your participation in the Drop Trailer operating model (as defined below) at one or more of your warehouses serviced by Amazon Shipping. The provisions of this Appendix B will control over any inconsistent provision of the Terms.

1. The Drop Trailer operating model is a voluntary Shipment pickup operating model, provided by Amazon to qualified Shippers at Amazon’s sole discretion, under which Amazon will arrange for a trailer to be deposited at your warehouse loading bay, which your personnel will load with your Shipments. Such trailer will remain in your custody until it is ready to be picked up by an Amazon Shipping driver and replaced with an empty trailer. Amazon may pause or end the Drop Trailer operating model at one or more of your warehouse locations at any time and for any reason, or condition your ongoing participating in the drop trailer operating model upon additional operational or contractual changes or assurances.

2. Additional Requirements and Modifications to the Terms.

(a) You represent, warrant, and covenant that (i) you and your employees, contractors, and agents will comply with any standard operation procedures or requirements issued to you by Amazon related to the Drop Trailer operating model, including the proper loading and securing of packages within a trailer, all of which are hereby incorporated into and made part of these Policies; (ii) you will train your employees, contractors, and agents on the safe and proper loading of the trailers, and on the safe and proper usage and handling of any equipment they may use in the course of carrying out your responsibilities in connection with the Drop Trailer operating model; and (iii) you will have and maintain adequate insurance appropriate to the operational responsibilities you are undertaking as part of the Drop Trailer operating model;

(b) You acknowledge and agree that you, and not Amazon, are responsible for (i) the safety of your employees, contractors, and agents, and any injury, death, or property damage resulting from their acts or omissions, including as may result from the manner in which your they have loaded the trailer with your Shipments; (ii) securing the trailer and any Shipments stored in the trailer until such time that it is retrieved by an Amazon Shipping driver; (iii) all risk of loss for your Shipments and the trailer from the time it is dropped off by the Amazon Shipping driver to the time it is picked up by the Amazon Shipping driver;

(c) Your Shipments will not be considered tendered to or in the actual or constructive custody or possession of Amazon until such time as the trailer is retrieved by an Amazon Shipping driver; and

(d) Retrieval of the trailer by an Amazon Shipping driver does not mean that such Shipments have been accepted by Amazon as undamaged.

For the avoidance of doubt, your indemnity obligations as described in Section 4 of the Terms extend to any breach of your obligations under this Appendix B.
